Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Chong Yue Global Reading Foundation, operating as Chong Yue Reader, concerning your access to and use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Services Description

Chong Yue Reader provides professional computer systems design and related technical services, including but not limited to:

• Computer integrated systems design and architecture
• Technical consulting and advisory services
• Custom software development and implementation
• System integration and optimization services
• Security and compliance consulting
• Support and maintenance services

Specific services are provided pursuant to separate service agreements that incorporate these Terms by reference.

Eligibility and Account Registration

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

If you register for an account or access our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates applicable laws or regulations
• Engage in any conduct that restricts or inhibits anyone's use of our services
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Introduce viruses, malware, or other harmful code
• Collect or harvest information about other users without their consent
• Use our services to transmit spam, chain letters, or other unsolicited communications
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

Intellectual Property Rights

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and documentation, are owned by Chong Yue Reader or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes. This license does not include any right to:

• Modify, copy, distribute, or create derivative works based on our services
• Reverse engineer, decompile, or disassemble any software or technology
• Remove or alter any proprietary notices or labels
• Use our services to develop competing products or services

Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate with our team and provide timely feedback and approvals
• Maintain the confidentiality of any access credentials provided to you
• Ensure that your systems and infrastructure meet specified requirements
• Comply with all applicable laws and regulations in your use of our services
• Pay all fees and charges in accordance with agreed payment terms

Professional Services Terms

Our professional services are provided pursuant to statements of work or service agreements that specify:

• Scope of services and deliverables
• Project timelines and milestones
• Fees, payment terms, and expenses
• Acceptance criteria and procedures
• Change management processes

We will perform services in a professional and workmanlike manner consistent with industry standards. However, we do not guarantee that our services will meet all of your requirements or be error-free.

Fees and Payment

Fees for our services are specified in applicable service agreements or statements of work. Unless otherwise agreed:

• All fees are in US dollars and exclude applicable taxes
• Invoices are payable within 30 days of invoice date
• Late payments may incur interest charges at the rate of 1.5% per month
• We may suspend services for non-payment after providing notice
• You are responsible for all costs of collection, including legal fees

Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and to use such information only for purposes of the business relationship. Confidential information does not include information that:

• Is or becomes publicly available through no breach of these Terms
• Was rightfully known prior to disclosure
• Is independently developed without use of confidential information
• Is rightfully obtained from a third party without restriction

Warranties and Disclaimers

We warrant that we will perform services with reasonable skill and care. EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED AS IS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. You acknowledge that computer systems and networks are subject to various risks and vulnerabilities.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CHONG YUE READER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Chong Yue Reader and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations

Term and Termination

These Terms remain in effect while you use our services. Either party may terminate a service agreement in accordance with its terms. Upon termination:

• Your right to use our services immediately ceases
• You remain liable for all fees and charges incurred prior to termination
• We will return or destroy your confidential information as requested
• Provisions that by their nature should survive termination will continue in effect

Dispute Resolution

Any disputes arising out of or related to these Terms or our services shall be resolved through the following process:

• Good faith negotiations between the parties
• Mediation if negotiations are unsuccessful
• Binding arbitration in accordance with applicable arbitration rules

The arbitration shall be conducted in Ontario, Canada, and governed by the laws of Ontario and Canada.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the Last Updated date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

General Provisions

These Terms, together with any applicable service agreements, constitute the entire agreement between you and Chong Yue Reader regarding our services. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. We may assign our rights and obligations under these Terms without your consent. You may not assign these Terms without our prior written consent.
